Terms of Service

Welcome to NUTRE. These Terms of Service ("Terms") govern your use of the NUTRE mobile application and related services (collectively, the "Service") operated by Lopez Wong LLC ("Company," "we," "us," or "our").

By downloading, accessing, or using NUTRE, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old to use NUTRE. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.

NUTRE is an AI-powered nutrition tracking application that allows you to:

• Log meals through conversation with an AI nutrition coach
• Track macronutrients, calories, and other nutritional information
• Upload photos of food for AI-assisted nutritional analysis
• Set and monitor personalized nutrition goals
• Receive AI-generated guidance and feedback on your nutrition

You acknowledge and agree that:

• NUTRE is not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider, registered dietitian, or nutritionist
• You should always consult with a healthcare professional before making significant changes to your diet, especially if you have any medical conditions, allergies, eating disorders, or are pregnant or nursing
• AI-generated nutritional estimates are approximations and may not be completely accurate
• You are solely responsible for your dietary choices and their consequences
• We are not liable for any health issues that may arise from following AI-generated suggestions

If you are experiencing a medical emergency, call your local emergency services immediately.

NUTRE offers subscription-based access to premium features. By subscribing, you agree to the following:

• Subscriptions are billed in advance on a recurring basis (monthly)
• Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing period
• Payment is processed through Apple's App Store; all billing is subject to Apple's terms and conditions
• You may manage your subscription and turn off auto-renewal in your App Store account settings
• Refunds are handled according to Apple's refund policies
• We reserve the right to change subscription pricing with reasonable notice; price changes will take effect at the start of the next subscription period

Free trial periods, if offered, will automatically convert to a paid subscription unless canceled before the trial ends.

You agree to use NUTRE only for its intended purpose of personal nutrition tracking and coaching. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or extract the AI models, algorithms, or underlying technology
• Use automated systems, bots, or scripts to access or interact with the Service
• Attempt to probe, scan, or test the vulnerability of the Service or circumvent security measures
• Use the AI features for purposes unrelated to nutrition tracking (e.g., general conversation, non-food queries)
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Collect or harvest any information from other users
• Use the Service to develop competing products or services
• Resell, sublicense, or commercially exploit the Service without our express written permission
• Attempt to manipulate or "jailbreak" the AI to produce harmful, misleading, or inappropriate content

You may submit content to the Service, including food photos, meal descriptions, and feedback ("User Content"). You retain ownership of your User Content, but you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights.

The Service, including its original content, features, functionality, design, and underlying technology (excluding User Content), is and will remain the exclusive property of Lopez Wong LLC. The Service is protected by copyright, trademark, and other intellectual property laws.

The NUTRE name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Lopez Wong LLC. You may not use such marks without our prior written permission.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The nutritional information or AI-generated content will be accurate, complete, or reliable
• The results obtained from the Service will meet your requirements
• Any errors in the Service will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOPEZ WONG LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Lopez Wong LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

Informal Resolution: Before filing any formal legal claim, you agree to first contact us at support@nutre-app.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Washington State, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver: YOU AND LOPEZ WONG LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and cancel any active subscription through your App Store account settings.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

It is your responsibility to review these Terms periodically for changes.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lopez Wong LLC regarding the Service and supersede all prior agreements and understandings.
